Terms and conditions of sale and use of Trade Success services.

These General Conditions of Sale (Terms) govern the relationships between:
Le Conglomerat SRL - Trade Success, activity consisting of IT consulting, SaaS solution integration, AI consulting and governance, web development, visual creation and marketing campaign management, exercised by Amin Anouar.
and its customers (hereinafter "the Client").
These Terms apply to all services provided by Trade Success, unless otherwise agreed in writing and signed by both parties. In case of contradiction between these Terms and a signed quotation, the provisions of the quotation shall prevail.
Any request for services must be subject to a prior quotation, accepted by the Client by electronic or written signature. Once the quotation is accepted, a deposit of 50% of the total amount is required to start the mission. The balance of 50% must be paid at the end of the mission, before final delivery of deliverables. Trade Success reserves the right to refuse any order if the conditions for service provision are not met.
Prices are stated in euros excluding VAT (HTVA). VAT will be added in accordance with applicable legislation. Payment is made by bank transfer.
In case of late payment, and in accordance with the Belgian law of August 2, 2002 concerning late payment in commercial transactions, default interest of 10% per annum will be applied automatically from the due date. A flat rate indemnity of 40 euros for recovery costs will also be due, without prejudice to Trade Success's right to claim additional compensation with supporting documents.
No refund of the deposit will be made, except in case of non-performance of services due solely to Trade Success's fault.
Trade Success offers consulting services in IT, artificial intelligence, digital strategy, and process optimization. Deliverables (reports, action plans, presentations) will be delivered within the timeframes agreed in the quotation. The Client has 14 calendar days after receipt to validate the deliverables and request minor adjustments. After this period without written feedback, deliverables will be deemed accepted. Trade Success does not guarantee specific results; its services constitute best-effort obligations.
Trade Success assists companies in adopting artificial intelligence. Services include team training, audit and support toward regulatory compliance (notably EU AI Act), as well as integration of AI tools into business processes.
The Client is responsible for providing access, data, and resources necessary for proper mission execution. Recommendations provided constitute best-effort obligations.

Trade Success integrates and configures SaaS solutions according to the Client's needs. The Client must provide Trade Success with unrestricted access to the relevant accounts for proper mission execution. In case of malfunction related to a third-party vendor, Trade Success acts as an intermediary between the Client and the vendor. Trade Success is not responsible for service interruptions, feature modifications, or price changes related to third-party solutions.
Trade Success develops custom forms via partner platforms. The Client has 30 calendar days to validate the form and request minor adjustments. After this period without written feedback, the form will be deemed accepted. Any major change (structure modification, addition of complex fields) will be considered a new service and will require a supplementary quotation.
Trade Success offers services for creation, management, and optimization of advertising campaigns (Google Ads, Google Shopping, etc.). Campaign performance depends on many external factors (market, competition, algorithms), and Trade Success does not guarantee specific results in terms of traffic, conversions, or return on investment. The Client remains solely responsible for the advertising budget allocated to ad platforms. Trade Success will provide regular reports on campaign performance according to the frequency agreed in the quotation.
Trade Success designs and develops custom websites. The Client has 30 calendar days after delivery to validate the website and request minor adjustments (bug fixes, minor graphical adjustments). After this period without written feedback, the website will be deemed accepted. Any major modification (structure change, addition of features) will require a supplementary quotation. Once the website is fully paid, the Client becomes its owner. Trade Success retains rights to tools, frameworks, and reusable components developed internally.
Trade Success creates logos, brand guidelines, and other visual elements in accordance with the Client's brief. The Client has 2 to 3 proposals to validate the design. Any additional proposal will require a supplementary quotation. Once the creations are fully paid, the Client becomes their owner. Trade Success retains the right to use the creations for promotional purposes (portfolio, website, social media), unless the Client provides written refusal within 30 days of delivery.
Once the quotation is accepted, Trade Success provides a list of information and access necessary for proper mission execution. The Client undertakes to provide these elements within a reasonable timeframe.
In case of delay in transmission of requested elements, Trade Success may suspend the mission and inform the Client by email. If no response is provided after 3 reminders over a 10-business-day period, Trade Success reserves the right to suspend the mission. Delivery timeframes will be extended accordingly. Any additional waiting days may be billed at the agreed daily rate.
By the Client: the Client may terminate the mission before its end by written notification (email or registered mail). The 50% deposit already paid remains retained by Trade Success. Services already performed beyond the deposit will be billed on a pro-rata basis.
By Trade Success: Trade Success may terminate the mission in case of non-payment, persistent non-cooperation by the Client (as defined in Article 11), or conduct damaging to the reputation or interests of Trade Success, after a notice to cure remaining ineffective for 15 business days.
Termination for Material Breach: in case of material breach by either party of its essential obligations, the other party may terminate the contract of right by written notification, without notice or indemnity.
Trade Success retains intellectual property rights to tools, methods, frameworks, and reusable content developed in the context of its services. Specific deliverables (reports, websites, forms, visuals) become the Client's property once full payment is made, unless otherwise expressly agreed in the quotation.
Trade Success reserves the right to use non-confidential elements of completed services for promotional purposes (portfolio, anonymized case studies), except in case of written opposition from the Client.
The content of the website trade-success.org (texts, images, logos, source code) is protected by copyright and cannot be reproduced without prior written authorization.
Each party undertakes to keep strictly confidential all documents, data, business, technical, and strategic information communicated by the other party in the context of the mission.
This mutual confidentiality obligation remains in effect during the entire mission period and for a period of 3 years after its end. It covers, in particular, methods, tools, rates, client data, and strategic information.
Trade Success is bound by a best-effort obligation and not by a results obligation for all its services.
The liability of Trade Success, for all causes, is limited to the total amount of services actually invoiced and paid by the Client for the relevant mission.
Under no circumstances shall Trade Success be liable for indirect damages, including but not limited to: loss of profits, loss of revenue, data loss, loss of customers, damage to reputation, or any other consequential or incidental loss.
In case of delay or non-performance of services resulting from external factors, failure of third-party solutions, or Client failure to meet its obligations, Trade Success shall not be held liable.
Neither party shall be held liable for any delay or non-performance resulting from a force majeure event as defined by Belgian law, including in particular: natural disasters, pandemics, strikes, widespread internet or electricity outages, cyberattacks, or governmental or regulatory decisions.
The affected party must notify the other party promptly. If the force majeure persists beyond 60 days, each party may terminate the contract without indemnity, with services already performed remaining due.
Trade Success complies with the provisions of the General Data Protection Regulation (GDPR). Personal data collected is retained for a maximum period of 5 years, unless required by law otherwise. For more details on collection, processing, and your rights, please consult our privacy policy.
Trade Success offers post-service support and maintenance services. These services are subject to a separate contract, established upon Client request. In the absence of an active maintenance contract, any adjustment, modification, or intervention will be billed according to the daily or hourly rate in effect at the time of the request.
Trade Success reserves the right to subcontract all or part of the services to qualified partners, provided the Client is informed. Trade Success remains fully responsible to the Client for the quality and compliance of work performed by its subcontractors. Subcontractors are bound by the same confidentiality obligations as Trade Success.
During the mission period and for a period of 12 months following its end, the Client undertakes not to solicit, recruit, or hire directly or indirectly any consultant, employee, or partner of Trade Success who participated in the mission, without prior written agreement from Trade Success.
If one or more provisions of these Terms are declared null or unenforceable, the other provisions shall retain their full validity and effect.
The fact that Trade Success does not exercise at any given time any of the rights provided herein cannot be interpreted as a waiver of the right to enforce it subsequently.
Trade Success reserves the right to modify these Terms at any time. New conditions will be communicated to the Client in writing (email or mail) before their application. In the absence of written objection within 30 days of notification, the new Terms will be deemed accepted.
These Terms are subject to Belgian law. In case of dispute, the parties undertake to attempt amicable resolution within 30 days. Failing amicable agreement, disputes shall be subject to the exclusive jurisdiction of the courts of the Brussels judicial district.
The Client's acceptance of the quotation constitutes unreserved acceptance of these Terms. These conditions are deemed read and accepted as soon as the services begin.
